Terms & Conditions

The ground rules for using this website and for working together on a project.

These terms apply to everyone who uses webstrategyplus.com and to engagements where we have not signed something more specific. If a signed proposal, statement of work or master services agreement covers the same subject, that document wins.

Accepting these terms

By browsing this site, submitting a form, booking a consultation or buying a service, you confirm that you have read these terms, that you are at least 18, and that you are able to enter a binding agreement for the business you represent. If you are agreeing on behalf of a company, you confirm you have authority to bind it. We may update these terms; the version posted at the time you use the site or start a project is the version that applies.

Our services

The service pages on this site describe what we generally do: web design and development, SEO and AI-search visibility, paid advertising, content and social marketing, email and marketing automation, video, fractional CMO advice, AI consulting, automation and app builds. Every page is an overview, not a contract. The actual scope, deliverables, timeline and price for your work are set out in the written proposal or statement of work we send you, and neither party is obligated until that document is accepted and any deposit is paid.

Marketing outcomes depend on factors outside anyone’s control — your market, your offer, your budget, your sales follow-through, and platform decisions we do not make. We commit to competent, honest work and clear reporting. We do not guarantee a particular search ranking, ad cost, lead volume, revenue figure or timeline.

Using this website

You may read, print and share our pages for your own business use. You may not copy the site wholesale, mirror it, scrape it in bulk, use it to train an artificial-intelligence model, sell access to it, remove our notices, or interfere with its normal operation. The site, its design, code, copy and graphics belong to us or to our licensors.

Information you submit through a form — a message, a quote request, a speaking enquiry, an assessment answer — stays yours. You grant us permission to use it to respond to you, prepare your proposal and deliver the work you ask for. Please do not send us confidential material before we have agreed to handle it, and make sure you have the right to share whatever you do send.

Proposals, fees and payment

  • Proposals and quotes are valid for 30 days from the date issued unless the document says otherwise.
  • Work begins after we receive a signed agreement and any deposit stated in it — commonly half of a fixed-fee project.
  • Monthly retainers are billed in advance and run until either side gives the written notice stated in the agreement.
  • Invoices are due on the terms printed on them. Balances unpaid after the due date may accrue a late charge or interest as stated in your agreement, and we may pause work until the account is current.
  • Fees exclude taxes, stock media, fonts, licensed software, ad spend, and third-party platform costs, which are billed to you at cost or paid by you directly.
  • Ad spend is always your money held in your own ad account. We do not borrow from it, and we do not move funds between accounts without written approval.

Because work is creative and iterative, deposits and fees for work already performed are non-refundable, but we will always tell you what has been done and credit anything genuinely undelivered.

What we need from you

Projects move at the speed of decisions. You agree to provide timely approvals, content, product information, brand assets, and access to the accounts and systems the work requires — Google, hosting, ad platforms, email tools, analytics, phones and CRMs. You are responsible for the accuracy and legality of the claims, images, testimonials and data you supply, and for keeping us informed of anything that affects the work, such as a product change, a rebrand, a legal dispute, or a new compliance requirement. Delays caused by missing input extend timelines and, on time-and-materials work, may extend billing.

Who owns the work

What you bring stays yours: your name, marks, content, customer data and materials. What we bring stays ours: our methods, frameworks, templates, code libraries, prompts, checklists and tools developed before or independently of your project.

On final payment of the project they were created for, we assign you the finished deliverables we produced for you — the website, the creative, the copy, the campaign builds — so you can keep using them. That assignment excludes anything licensed from a third party (stock media, fonts, apps, plug-ins, platform features), which remains under that provider’s license, and excludes our underlying tools and know-how, which we can reuse for anyone.

With your permission, we may show the work in our portfolio, case studies, testimonials, books and presentations. If a project must stay private, tell us before launch and we will leave it out.

Third-party platforms and AI tools

Much of modern marketing runs through services we do not own: Google, Meta, LinkedIn, YouTube, email and CRM platforms, hosting providers, and AI tools. Those services have their own terms, policies, algorithms and review queues, and they change them without consulting anyone.

  • Search algorithms and ad policies change; rankings, costs and delivery can move with them.
  • Accounts can be limited or suspended by the platform, sometimes quickly and sometimes in error.
  • AI output can be inaccurate, incomplete or unexpectedly similar to someone else’s work, so human review is part of every process we run.
  • Platform features we rely on can be renamed, restricted, priced differently or retired.

We choose tools deliberately, tell you which ones we are using, and build with your own accounts wherever possible so the assets stay under your control. We cannot be responsible for a platform’s decisions, downtime, or policy changes.

Case studies and testimonials

Case studies, testimonials and example numbers on this site describe real work, but they are illustrative. Results shown for one business are not a promise for another, and no client’s results are typical on their own. If you ask us to remove a testimonial or a mention of your business, we will.

Confidentiality

Each side protects information the other marks or clearly treats as confidential, uses it only for the work, and shares it only with people who need it and are bound to similar care. That duty does not cover information that was already public, already known, independently developed, or required to be disclosed by law.

Disclaimers

This website is provided “as is.” We do not warrant that it will be uninterrupted, error-free, secure, or free of viruses, and we do not warrant the accuracy of every figure or third-party statement on it.

Our advice is marketing advice. Nothing on this site or in our work is legal, tax, accounting, financial, medical or regulatory advice. In regulated fields such as healthcare, dental, finance and franchising, you remain responsible for final review of claims and materials against the rules that apply to you, including FTC disclosure rules, HIPAA, franchise disclosure requirements and industry advertising codes. Where a licensed professional must sign off, that sign-off is yours to obtain.

Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, punitive or consequential damages, or for lost profits, revenue, data or goodwill. Our total liability for anything arising out of this site or an engagement is limited to the amount you actually paid us for the work in dispute in the twelve months before the claim. This limitation does not apply to fraud, willful misconduct, or anything else that cannot lawfully be limited.

Indemnity

You agree to defend and cover us against claims that the content, products, services or data you supplied or approved infringe someone’s rights, are false or misleading, or were used by you in a way that breaks the law or a platform’s rules.

Ending an engagement

Either side can end a project or retainer with the written notice stated in the agreement. You remain responsible for work performed and costs committed up to the end date, and we will hand over usable files, credentials and accounts once the account is current. We may stop work immediately, without waiting for notice, if payment is overdue, if we are asked to do something we believe is deceptive or unlawful, or if continued work would put our team or other clients at risk.

Governing law and disputes

These terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts serving Hamilton County, Ohio. Before anyone files anything, both sides agree to try to work it out directly — a phone call between the owner and Michelle resolves most disagreements in a single conversation.

Other terms

  • These terms, plus your signed agreement, are the whole understanding about the subject and replace earlier discussions about it.
  • Neither side is liable for delay or failure caused by events beyond reasonable control, including outages, natural events, labor disputes and government action.
  • You may not assign your agreement without our consent; we may assign ours to an affiliate or a successor to the business.
  • We are independent contractors — nothing here creates a partnership, joint venture or employment relationship.
  • If any provision is unenforceable, the rest still stands and that provision is narrowed to the minimum needed.
  • A delay in enforcing a term is not a waiver of it.
  • Notices go by email to the address on file, or by certified mail to our Cincinnati address on request.
